AN ACT relating to corporations.
     Amend KRS 271B.1-200, 271B.1-230, 271B.1-240, 271B.1-250, 271B.1-270, 271B.1-400, and 271B.1-410 to facilitate electronic filings by corporations to the extent permitted by the Secretary of State; permit electronic communications between corporations and their shareholders; amend KRS 271B.6-020, 271B.6-210, 271B.6-230, 271B.6-240, 271B.6-250, and 271B.6-270 relating to corporation finance; amend KRS 271B.7-040, 271B.7-280, and 271B.8-080 relating to issuance of shares and cumulative voting; create a new section of KRS Chapter 271B to increase flexibility for shareholder meetings; require that Sections 10, 11, 15, 18, and 19 of the Act take effect if a constitutional amendment pertaining to corporations is approved by the voters; require that Sections 10, 11, 15, 18, and 19 shall be void if the voters do not approve a constitutional amendment pertaining to corporations.
